The issuer corrects the date of publication of the prospectus, stated in Current Report No. 70/2018 on the approval of the prospectus for the First Public Bond Issuance Program, which will be made available on its website https://inwestor.pragmago.pl/ and on the website of Dom Maklerski BDM S.A. www. bdm.com.pl on December 20, 2018.

RB 70/2018

The Management Board of Pragma Faktoring S.A. informs that on December 14, 2018. The Financial Supervision Commission decided to approve the Issuer’s prospectus. The prospectus will be the basis for issuing and offering to the public subsequent series of the Company’s bonds, issued under the First Public Bond Issuance Program with a total value not exceeding PLN 50 million. Under the program, the Issuer may issue one or more series of dematerialized bearer bonds (“Bonds”) within a period of no more than twelve months from the date of approval of the prospectus. The Bonds shall be secured in the manner and at the times specified in the base prospectus and the final terms of issue of each series. Individual series of Bonds may have different detailed terms of issuance, including interest rate rules. The detailed terms and conditions of issue of each series, including the issue price, will be included in the final terms and conditions of issue of each series of Bonds adopted by the Issuer’s Board of Directors, which will also determine: a) the unit and total par value of the Bonds issued under the series; b) the interest rate; c) the time of redemption; d) the Issuer’s right to early redemption, if any; e) the interest periods, which will be 3, 6 or 12 months. Pursuant to Article 45 (1) of the Public Offering Act (…), the prospectus will be published on December 18, 2018 in electronic form on the Issuer’s website at: https://inwestor.pragmago.pl/ and additionally for information purposes on the website of Dom Maklerski BDM S.A., at: www.bdm.com.pl. In accordance with the Terms of Issuance of bonds of series H, I, J, K, L, M, N and O, PRAGMA FAKTORING S.A. presents a report on the status of the subject of the pledge securing the claims of bondholders of these series. Pragma Faktoring S.A.’s strategy for 2017-2020 (current report No. 61/2017), an important element of which is to increase the scale of business carried out online and the development of the PragmaGO segment, the Issuer presents data for October 2018 on the effects generated by online sales channels. The fintech applications LeaseLink and PragmaGO enable the entire customer service process (from the initial offer, through scoring and rating of the customer, presentation of the offer, its acceptance by the customer to the finalization of the transaction) to be carried out online in a dozen minutes, and also provide after-sales support. The number of processes initiated in these applications by clients to acquire the Group’s services reflects the efficiency of the onlin sales channel and is important in terms of increasing the scale of the Issuer’s operations without a significant increase in operating costs. RB 61/2018

Pragma Faktoring S.A. (Issuer) announces that on September 17, 2018, its subsidiary Leaselink sp. z o.o. entered into a cooperation agreement with the online platform Mintos (Platform). The agreement will enable Leaselink to sell to investors using the Platform the flows from receivables owed to its customers while guaranteeing these investors the repayment of the receivables (Guarantee Obligations). On September 17, 2018, the Issuer issued a surety for LeaseLink’s Guarantee Obligations while reserving the possibility of terminating the surety resulting in a release from liability for the Guarantee Obligations for transactions completed after the termination. According to the company’s plans, LeaseLink’s use of the Platform will be of a complementary and bridging nature, and is at the same time the realization of one of the Pragma Factoring Group’s strategic goals of diversifying the sources of financing its operations, including through the use of off-balance sheet financing in the P2P model. Pragma Faktoring S.A. informs that the Extraordinary General Meeting of Shareholders on August 13, 2018 passed a resolution to appoint Mr. Grzegorz Borowski to the company’s Supervisory Board. His candidacy was submitted by a shareholder – Pragma Inkaso S.A. Mr. Grzegorz Borowski graduated in 2003 from the Faculty of Law and Administration, Faculty of Law, at the University of Silesia in Katowice. He started his professional career in 1998 at Trading Service company, where he was employed as a trader and legal clerk. In 2002, he worked at the company Dom Obrotu wierzytelności CASH FLOW S.A. as a Legal Specialist. Since 08.12.2013, he has been employed at the Cooperative Bank in Jastrzębie Zdrój, where he held the positions of Collection Clerk, Collection and Credit Risk Control Manager, Collection and Credit Restructuring Manager, Managing Director of credit service units, and currently holds the position of Collection Manager. From 22.06.2011 to 02.03.2017, as a representative of the Bank, he served as Vice Chairman of the Supervisory Board of Fundusz Poręczeń Kredytowych Sp. z o.o. z/s in Jastrzębie-Zdrój. On 29.06.2018, he was appointed to the supervisory board of Pragma Inkaso S.A. To the best of the Issuer’s knowledge, Grzegorz Borowski does not carry out any business activity other than those listed above, including an activity that would be competitive to the Issuer, also as a partner in a civil partnership, partnership or a capital company, and does not participate in a competitive legal person as a member of its body, and has not been entered in the Register of Insolvent Debtors maintained by the National Court Register.

The Issuer announces that on June 6, 2018, it entered into a surety agreement with a US-based entity specializing in lending to companies in the SME financing industry (the Fund) against the Fund for the liabilities of Pragma Faktor Sp. z o.o., based in Katowice (the Target Company), under a revolving credit agreement (Line of Credit) in the amount of PLN 22 million to be granted by the Fund to the Target Company. The surety is to be granted by the Issuer up to 10% of the Line of Credit limit, i.e. up to PLN 2.2 million. At the same time, the Issuer agreed with the Special Purpose Vehicle on the terms of an agreement to manage the Company’s portfolio of factoring receivables. The above-mentioned agreements are part of a trilateral cooperation between the parties. This cooperation will be implemented on the following terms: – The Fund will make available to the Special Purpose Company for a minimum period of 12 months a credit line available in PLN in the amount of PLN 22 million, the purpose of which will be to finance receivables from factoring transactions carried out with Polish entrepreneurs; – The Issuer is obliged to provide the Special Purpose Company with a subordinated loan under the credit line in the amount of 5% of the credit limit, i.e. in the amount of PLN 1,100 thousand; – the Issuer will provide the Special Purpose Vehicle with servicing services consisting of acquiring factoring transactions, verification of counterparties, establishment of counterparty ratings and financing limits, on-going service in the field of factoring financing of counterparties, as well as monitoring and collection; – by virtue of the provision of the aforementioned services, the Issuer will be entitled to a credit facility of PLN 1,100 thousand. The Issuer will be entitled to remuneration from the SPV, established on market terms, as a part of the factoring revenues generated by the SPV; – The Issuer will not be liable for the repayment of executed transactions, subject to liability under the above-mentioned surety; – The Issuer will not be liable for the repayment of the factoring transactions, subject to liability under the above-mentioned guarantee. surety; – The Issuer will also be liable without limitation for damages that the Fund will suffer as a result of fraud or gross negligence of the SPV or the Issuer; – The Fund will also secure its receivables under the Line of Credit through a pledge of the SPV’s floating collection, a pledge of its shares and a pledge of its two restricted bank accounts, and will authorize the SPV’s key transaction decisions. The launch of the financing is subject to the establishment of the aforementioned collateral. The SPV is an entity in which Pragma Finanse Sp. z o.o., an entity outside the Issuer’s Capital Group, holds all of its shares. Cooperation with the SPV and the Fund in this formula does not burden the Issuer’s balance sheet with debt, and at the same time will allow the Issuer to increase the scale of its operations, generated revenues and results. The concluded agreements are part of the implementation of the Issuer’s strategy to diversify sources of financing for its operations, obtain off-balance sheet financing and carry out maintenance services. Pragma Faktoring S.A. (Issuer) informs that on June 5, 2018. The Supervisory Board dismissed from the Issuer’s Management Board Jakub Holewa, previously serving as Vice President of the Management Board, as well as Agnieszka Kowalik and Grzegorz Pardela serving as members of the Management Board. The dismissal was made effective July 1, 2018. The reason for the dismissal is a change in the Issuer’s business management formula and the functioning of the Board of Directors. At the same time, the Issuer informs that it intends to continue cooperation with all the above-mentioned persons, in particular, it is planned to appoint them as proxies after their dismissal from the Board. On the Board of Directors of the Issuer remain:

  • Tomasz Boduszek, acting CEO, who will be responsible for financial reporting and investor relations, business financing, risk and collections;
  • Daniel Mączyński, acting vice president, who will be responsible for products, sales and operational execution.

Pragma Faktoring S.A.’s strategy for 2017-2020 (current report No. 61/2017), an important element of which is to increase the scale of business carried out online and the development of the PragmaGO segment, the Issuer presents data for May 2018 on the effects generated by online sales channels.

Fintech applications LeaseLink and PragmaGO enable the entire process of customer service (from the initial offer, through scoring and rating the customer, presentation of the offer, its acceptance by the customer, to the finalization of the transaction) to be carried out online in several minutes, and also provide post-sales support. The number of processes initiated in these applications by customers to acquire the Group’s services reflects the efficiency of the online sales channel and is important for increasing the scale of the Issuer’s operations without a significant increase in operating costs.

In connection with the adoption of the aforementioned resolution on the introduction, the Issuer also informs that the registration of the bonds in the National Depository for Securities will take place within 3 days after the NDS receives the documents confirming their introduction to the alternative trading system.

The resolution came into effect on the date of adoption.
